1. Introduction 简介 1.1 Welcome, and thank you for your interest in the payment solutions provided by Global Payment E-Commerce Limited (“GPE”). For the purposes of these Terms and Conditions, “GPE”, “we” ,“our” and “us” are interchangeable, referring to GPE. 欢迎并感谢您对环球通汇电子商务有限公司(「环球通汇」)支付方案的兴趣。在本条款及条件中，「环球通汇」、「我们」和「我们的」，均指环球通汇电子商务有限公司。 1.2 These Terms and Conditions set out the terms governing the services provided by GPE to you (or the “Customer”, or “you”/ “your”, or “any authorized user”) and your use of those services. 本条款及条件规定了环球通汇如何向您（或称「客户」、「您」/ 「您的」、「任何授权用户」）提供服务、以及您应如何使用这些服务。 1.3 These Terms and Conditions is written in English and Chinese. In case there is any conflict in language, the English version shall prevail. 本条款及条件以英文及中文写成。如果英文和中文内容有矛盾，应以英文版本为准。 2. Definitions 定义 2.1 “Customer” or “You” – the individual or legal entity who enters into these Terms and Conditions and in whose name is registered as owner of the GPE Account. 「客户」或「您」—指签署本条款及条件的个人或法人实体，将以其名义注册为 环球通汇账户所有者。 2.2 “End User” – the parties that are authorized by a Customer to access GPE Services via the Customer’s GPE Account. 「操作人员」—指获得客户授权，通过该客户的环球通汇账户并使用环球通汇服务的人员。 2.3 “GPE Account” – your account registered for GPE Services. 「环球通汇账户」—指您登记用以使用环球通汇服务的账户。 2.4 “GPE Account Credentials” – the Payment Account credentials (which shall include account bank details, bank account number(s), routing number(s), SWIFT code, IBAN, etc.) provided by GPE to you for the purpose of using GPE Services. 「环球通汇账户凭证」—环球通汇向您提供的用于使用环球通汇服务的支付账户凭证（包括账户的银行资料、银行账号、路由号码、SWIFT码、IBAN 等）。 2.5 “GPE Services” – all services provided by GPE to you in accordance with these Terms and Conditions. For the sake of clarity, GPE shall in no event provide any service which is not specified in these Terms and Conditions. 「环球通汇服务」—环球通汇根据本条款及条件向您提供的所有服务。环球通汇在任何情况下均不会提供本条款及条件中未提及的任何服务。 2.6“Intellectual Property Rights” – all current and future worldwide rights under patent, copyright, trade secret, trademark, or other similar rights. 「知识产权」—所有当前和未来、适用于全球的专利、版权、商业秘密、商标或其他类似权益。 2.7“Platform” – any e-commerce marketplace or other third party selling platform from time to time approved by GPE for use with GPE Services. 「平台」—环球通汇允许的电子商务市场或平台。 2.8 “Service Provider” – third parties including banks, payment service providers, card payment acquiring institutions/facilitators, and clearing networks from time to time necessarily used by GPE in the course of supplying the GPE Services. 「服务提供者」—环球通汇在提供服务的过程中，因业务需要使用的第三方合作伙伴，包括银行、支付服务提供商、卡支付收单机构/服务商，以及清算网络等。 3. Effectiveness of These Terms and Conditions本条款及条件的效力 3.1 These Terms and Conditions will commence when you opening a GPE Account, accessing or using any part of GPE Services, or affirmatively accepting these Terms and Conditions in writing or electronically (“Effective Date”), and continue until termination as set forth below. Your acceptance of these Terms and Conditions serves as confirmation that you fully understand and accept these Terms and Conditions. If you do not understand any of these Terms and Conditions, please contact your legal advisor for proper legal advice. 本条款及条件将在您开立环球通汇账户、使用环球通汇服务或以书面或电子方式接受本条款及条件时生效（“生效日期”），并持续有效，直至根据下文所述而终止。您接受本条款及条件即确认您完全理解并接受本条款及条件。如果您不理解本条款及条件中的任何信息，请联系您的法律顾问以获得适当的法律建议。 3.2 We may, in our sole discretion, provide from time to time updates to these Terms and Conditions, or issue and update statements, guidelines, directives or documents attached or relevant to these Terms and Conditions, which will be posted in the relevant section of our website or posted to you. These changes will become effective immediately upon being posted in our website. Any such change will not affect any transaction that was initiated prior to the effective date of such change. Eligibility 使用资格 4.1 To be eligible to use GPE Services, you must warrant that: 使用环球通汇服务需要具备以下条件： a)If you a natural person, you must attain the age of 18 and have the legitimate discretion to accept these Terms and Conditions with us based on jurisdictions applicable to you. 如果您是一名自然人，您必须年满 18 岁，并且根据适用于您的司法管辖区之法律，您有法律自主权确认同意本条款和条件。 b)If you are registering as a business entity, the business entity must have legal capacity, based on applicable jurisdictions, to enter into these Terms and Conditions with us. Further, the person registering the GPE Account and accepting these Terms and Conditions on behalf of the business entity must attain the age of 18 and have the necessary authority to bind you to these Terms and Conditions, and the business entity agree to be bound by these Terms and Conditions. 如果您为企业或机构等商业实体，您须在适用的司法管辖区具有法律行为能力。代表您注册环球通汇账户并接受本条款及条件的人，必须年满18岁，并拥有必要的权限来约束您遵守这些条款和条件，而作为商业实体的您也同意本条款及条件的所有内容。 5. Use of GPE Services 使用环球通汇服务 5.1 GPE Services are solely intended to enable transactions for business/trade/professional- related activities only but NOT for personal use. That being said, you are strictly prohibited from using GPE’s Services to process person-to-person transmission of funds. You warrant to us that your use of the GPE Services shall be for your own business, trade or profession on your own behalf but not as a consumer. 环球通汇服务仅适用于和商业/贸易/业务相关活动有关的交易，不得用于个人之间的使用。即，您不能用环球通汇服务来处理个人或私人之间的资金转移。您确认，您使用环球通汇服务，以为了满足您个人的商业、贸易或业务需要，而不是以消费者身份使用环球通汇服务。 5.2 Customers’ use of GPE Services shall be subject to our Customer Due Diligence procedures, through which we will request you to provide the identity information and business information to the extent allowing us to fulfill the AML requirements we and our group companies (if applicable) subjected to. 客户须完成尽职审查，才可使用环球通汇服务。在尽职审查过程中，基于我们及集团公司（如果适用）反洗钱及反恐怖融资的要求。 5.3 We may make new features or functionality available from time to time. To the extent you use new features or functionality of our Services, you may have to accept additional terms and conditions. 我们可能会不断提供新的服务或功能。如果您使用我们的新服务或功能，您需要接受附加的服务条款和条件。 6.Account Access and Password 登录账户及密码 6.1 Each Customer is only allowed to create one GPE Account to access our Services. 每位客户只能创建一个环球通汇账户来使用我们的服务。 6.2 Customers are responsible for safeguarding the password and managing the use of respective GPE Accounts by their authorized End Users, and are responsible for safeguarding any and all GPE Account details and GPE Account Credentials. Any actions taken or instructions applied by a GPE Account shall be absolutely binding on the Customer who owns the GPE Account. Customers accept full responsibility for all actions taken and instruction given by respective End Users. 客户有责任保护环球通汇账户密码，并管理其所有操作员正确使用环球通汇账户，客户同时有责任保护其环球通汇账户的所有信息和账户凭证。客户通过环球通汇账户的任何操作，及所有操作人员的所有操作，均应承担全部责任。 6.3 GPE have no obligation whatsoever to inquire about or confirm the authority of the End Users of respective Customers. All Customers agreed to fully indemnify GPE, its employees and stakeholders against all losses or damages on account of the actions or transactions conducted by GPE upon the instruction from their End Users. 环球通汇没有任何责任询问或确认客户对其操作员所设的权限。如果因客户操作员的操作或交易导致环球通汇出现损失，客户同意向环球通汇、环球通汇的员工和环球通汇有关人员或机构作出全额赔偿。 7. Services 服务 7.1 Not a Principal-Agent Relationship. You agree and acknowledge that we are appointed by you and not by any other party, you are responsible for the accuracy and completeness of your instructions and our role in each transaction is limited to being the service vendor under these Terms and Conditions, but we do not act as your agent or have any fiduciary relationship with you. 非代理关系。您同意并确认我们是由您而不是任何其他人士的委任，您对您的任何操作及指示负全责，而我们仅根据条款及条件约束作为您的服务供应商，但我们并不是您的代理人，也与您无任何信托或受托的关系。 7.2 Non-Business-Related Transactions Prohibited. GPE Services are provided for your business, trade, or professional-related activities but not for your personal consumption or person-to-person transactions. We may, at our sole and absolute discretion, use the services of one or more Service Providers to provide or support GPE Services. You acknowledge and accept that third parties, agents or service vendors designated by GPE may be involved in the provision of GPE Services to you. You acknowledge that the GPE Services are not a bank services and GPE Accounts are not bank accounts, The proceeds held in connection with your use of GPE Services do not constitute deposits and do not earn your any interest. GPE holds your proceeds for the purpose of providing you with GPE Services. 环球通汇不是银行。您明确知晓环球通汇服务不是银行服务，环球通汇账户不是银行账户，您因业务需要而将业务资金交由环球通汇处理，该资金不属于存款，您也不能赚取任何利息。您的资金由我们持有，只是为了让您使用环球通服务。 7.6 Collection. We facilitate you to collect the sale proceeds of your products or services sold in respective Platforms. You appoint us to collect these sale proceeds (or payment made by your buyers) on your behalf, from the operators of respective Platforms, and/or other payment service institutions designated by you or GPE, with or without the support of our Services Providers, subject to the criteria provided in these Terms and Conditions. GPE, however, does not have control over the transfer, release or disburse of your sales proceeds by respective parties, and holds no responsibilities for the sale of your products or services. 归集款项。我们协助您收取您在不同平台上的销售款项。您指定我们，根据本条款及条件代表您从不同平台的运营商、或由您或环球通汇指定的其他支付服务机构收取销售款项（或您的买家向您支付的款项）。然而，您对销售款项的转移、释放或支付，环球通汇没有任何干涉权，也对您的销售行为不承担任何责任。 7.7 Disbursement / Withdrawal. Upon your sale proceeds made available by relevant Platforms to GPE, we also enable you withdraw the proceeds in your indicated amount and currency, or disburse the same to approved payees subject to our approval and limit, which depending on the nature of your disbursement/withdrawal instruction, AML regulations, our risk management policies or procedures and other factors we deem relevant. 分发/提取款项。当您的销售款项转至环球通汇后，您可以用指定的货币提取指定的金额、或分发给通过环球通汇审批的业务关联方，但分发或提取款项的交易能否成功，需要我们根据分发/提款指令的性质、反洗钱和反恐怖融资要求、风险管理政策等进行评估。 7.8 Foreign Currency Exchange. The proceeds we collected on your behalf maybe in exotic currencies which cannot be handled by us or our third party Service Providers, we will advise you on the applicable exchange rate before we convert the proceeds to appropriate currencies. Further, withdrawals may be subject to currency conversion and other fees (including but not limited to processing fees, landing fees and intermediary fees which may be charged by your bank, a correspondent bank or any other payment service provider used to enable the withdrawal) depending on which withdrawal method is chosen. Please see the fee schedule in these Terms and Conditions for details. We provide you with remittance services as we send, or arrange for the sending of, your proceeds to a bank account outside Hong Kong designated by you. 汇款。我们提供汇款服务。我们可以按照您的汇款指令，将您的业务资金付至您指定的位于香港以外地区的银行账户。 7.10 Service Charge / Handling Fee. Effective your instruction will incur handling fee according to the fee schedule in our website. You may also need to pay bank processing fees and currency exchange fees relating to the transactions. You should ensure sufficient funds available in your GPE Account to cover these applicable fees, your instruction will not be executed otherwise. 服务费/手续费。我们将根据您的指令对业务资金进行处理，这会产生手续费，费用详情请参见我们网站展示的费用表。由于市场及业务的变化，该费用表可能会发生变化，新的费用表将在我们的网站上发布，且一旦发布便立即生效。为了不影响您的交易，您应确保您的环球通汇账户中有足够的资金来支付相关费用，否则您的交易将不会成功处理。 8.Prohibited Activities 禁止的活动 8.1 Customers are strictly prohibited from using GPE Services for trade or activities specified in our website, which will be amended from time to time, and become effective immediately upon publication in our website. 基于反洗钱及反恐怖融资的要求，我们不支持涉及如上行为以及其他有潜在危害的交易或活动，且严禁客户将环球通汇服务应用于相关行为。这些禁止的交易或活动内容将持续更新，在网站上一经发布，便立即生效。 9.Fees and Payment 费用和支付 9.1 You may, from time to time, be required to make payments to us as part of your use of GPE Services (“Fees”). You agree that you are solely responsible for payment of all Fees. All payments made by you shall be made free and clear of and without deduction for any tax. Please refer to the GPE’s fee schedule specified in our website, which will be amended from time to time, and become effective immediately upon publication in our website. 您同意，您使用环球通汇服务，应向我们支付相关费用。您支付的所有费用均应免除税款、且不可因税款事宜而影响您应付的费用。费用详情请参考本网站的费用表。 10.Customers Obligations 客户的责任 10.1 You warrant that all data and instruction provided by you is accurate and up-to-date at all times. 您确保您提供的所有资料和交易指示在任何时候都是准确和最新的。 10.2 You warrant that you will not, and will not allow your affiliates, employees, contractors and any third parties under your control, management, or supervision to breach these Terms and Conditions, engage in prohibited activities, or sublicence, resell, distribute any GPE Services to third parties. 您保证您不会，也不会允许您的附属公司、员工、承包商和任何在您控制、管理、监督下的第三方违反本条款和条件、从事被禁止的活动，或向第三方转让环球通汇服务的许可，或向第三方转售环球通汇服务。 10.3 You are responsible to ensure that you only use GPE Account and GPE Services for business/trade/professional-related transactions subject to any applicable laws and regulations. The fact that your access to GPE Account and the provision of GPE Services to you is not an warranty or indication of your compliance of these Terms and Conditions and the legality of your transactions. 您有责任确保您会在法律和法规的约束内，使用环球通汇账户和服务处理商业/贸易/业务有关的交易。您使用环球通汇账户或服务，并不代表您已遵守本条款和条件，也不能表明您的交易的合法性。 10.4 You shall be solely responsible for understanding and complying with any and all laws, rules, regulations and guidelines of your home country that may be applicable to you in connection with your use of the GPE Services, including, without limitation, laws governing payment services, anti-money laundering or anti-terrorist financing requirements, consumer protection, data protection laws, anti-discrimination, false advertising, gambling, illegal sale or purchase or exchange of any goods or services, and those related to export/import activity, taxes or foreign currency exchange. 如您所属国家有法律、规则、法规、指引适用于您如何使用环球通汇服务，您应承担理解及配合的责任。这些法律、规则、法规和指南，包括但不限于管理支付服务的法律、反洗钱及反恐怖融资要求、消费者保护、数据保护法、反歧视、虚假广告、赌博、非法销售或购买任何商品或服务，以及与进出口活动、税收或外汇交易及牌照有关的法律法规。 10.5 You bear the full responsibilities to defend, reimburse or compensate us and hold us, our third party Service Providers, our group companies and our associate entities harmless from any claim, demand, expenses or costs (including legal fees, fines or penalties) that we incur or suffer due to or arising out of your or your agents' breach of these Terms and Conditions, breach of any applicable law or regulation and/or use of the GPE Account and GPE Services. This provision shall survive termination of the relationship between you and us. 您承担为我们抗辩、偿还及给我们作出补偿的全部责任。如因您或您的操作人员违反本条款及条件或任何适用法律或法规、或因您或您的操作人员使用环球通汇账户和环球通汇服务而使我们、我们的第三方服务供应商、我们的集团公司和我们的关联实体导致或遭受索赔、申诉、费用（包括法律费用、罚款或处罚等），您需对我们全数赔偿。本条款在您与我们之间的合作关系终止后继续有效。 10.6 We have the sole discretion to suspend or terminate your GPE Account and GPE Services if we form the opinion, without being justified by any concrete evidence, that you fail to comply the aforementioned obligations. 如果我们判断您没有遵守上述责任，即便没有确实证据，我们仍可以行使绝对的自主权暂停或终止您的环球通汇账户或环球通汇服务。 11. Disclaimer 声明 11.1 TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. GPE AND ITS SERVICE PROVIDERS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMIITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NEITHER GPE NOT ITS SERVICE PROVIDERS, MAKES ANY WARRANTY THAT OUR SERVICES WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED. YOU UNDERSTAND THAT YOU OBTAIN CONTENT OR SERVICES THROUGH, OUR GPE SERVICES AT YOUR OWN DISCRETION AND RISK. 您理解并同意，环球通汇服务是按照「现状」及「现有」的原则提供的。 环球通汇及其服务提供者在此不提供任何形式的保证，包括但不限于特定用途的适用性和不侵权的保证。 环球通汇及其服务提供者均不保证其服务没有错误，或者可以连续或不受阻碍地提供服务。您了解您通过环球通汇服务获得的内容或服务是由您自行决定并愿意承担风险。 12. Limitation of Our Liability 我们的责任限制 12.1 GPE shall in no event be relevant to any underlying transactions between you and any other parties, including but not limited to your consumers, your Platforms, suppliers or service vendors. 在任何情况下，您与任何其他个人或商业实体之间的交易，包括但不限于您的顾客、供应商、或服务供应商，都与环球通汇无关。 12.2 To the extent permitted by law, we exclude all warranties which may apply to GPE Account or GPE Services, whether express or implied. 在法律允许的范围内，我们不会就环球通汇账户或环球通汇服务提出任何明示或暗示的保证。 12.3 We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with the use of, or inability to use, GPE Account or GPE Services. 我们不对任何用户的任何损失或损害负责，无论该损失或损害是否与合约、侵权（包括疏忽）、违反法律义务还是其他原因有关。因使用、或因无法使用环球通汇账户或环球通汇服务而导致的可预见损失或损害，我们不会负责。 12.4 We will not be liable for your loss of profits, sales, business, revenue, business interruption, business opportunity, goodwill or reputation; or any indirect or consequential loss or damage. 我们不对您的利润、销售、商业、收益、业务中断、商业机会、商誉或名誉承担责任。我们不对任何间接或后果性的损失或损害负责。 12.5 We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our website or to your downloading of any content on it, or on any website linked to it. 如您在使用我们的网站、下载该网站内容或因使用该网站的连结而使您的计算机设备、计算机程序、数据或其他设备感染病毒、分散式拒绝服务攻击或其他技术上有害的资料，从而造成任何损失或损害，我们概不负责。 12.6 Different limitations and exclusions of liability may apply to liability arising as a result of the supply of GPE Services to you, which will be set out in separate notices. 因向您提供不同种类的环球通汇服务，会产生不同的责任限制，我们会用单独的公告通知您。 13. Suspension and Termination暂停和终止 13.1 These Terms and Conditions will commence upon you access, or use GPE Services and continue until terminated as set forth below. 本条款及条件将在您注册或使用环球通汇服务时开始生效，并一直持续，直到下述的终止条件被触发。 13.2 GPE may suspend or terminate your access to GPE Account and/or GPE Services, fully or partially, at any time, with or without cause. Where possible, we will provide prior notice within reasonable time, unless there are exceptional circumstances, or regulatory circumstances (including but not limited to court or governmental orders) causing us to take immediate action, including but not limited to: 环球通汇有权基于任何理由，随时暂停或终止您使用的部分或全部环球通汇账户或环球通汇服务。在条件允许的情况下，我们将提前通知您，但若出现下列特殊情况或监管要求（包括但不限于法院或政府命令），迫使我们要立即采取行动，则我们无法提前通知您： a)you have provided false, misleading, incomplete or inaccurate information or have otherwise acted dishonestly; 您提供了虚假、误导性、不完整或不准确的信息、或您曾作出其他不诚实的行为； b)you breach these Terms and Conditions or any other agreement you enter into with GPE; 您违反了本条款及条件或您与环球通汇签订的其他协议； c)you are engaged in fraud, money laundering, terrorist financing or other illegal activities; 您从事欺诈、洗黑钱、恐怖资金筹集或其他非法活动； d)you use GPE Services illegally or fraudulently in violation of applicable law or we reasonably suspect the same; 您确实地或我们怀疑您违反适用法律，不法地或欺诈地使用环球通汇服务； e)you have been adjudged bankrupt or subject to a winding up order, or you file a bankruptcy or winding up petition; 您已被判定破产或受到清算约束，或者您已提交了破产或清盘申请； f)we receive complaint in respect of your or your transactions; 我们收到与您本身或您的交易有关的投诉； g)no transactions are made between GPE and you for a consecutive period of time; 您已连续一段时间没有与我们进行交易； h)you become subject to any sanction imposed or any investigation by a regulatory authority; 您受到监管机构施加制裁或调查； i)there are other grounds that GPE considers appropriate to terminate relationship with you. 任何环球通汇有合适的原因要与您终止合作关系。 13.3 You may terminate these Terms and Conditions by giving not less than 3 months’ written notice to us. The provisions of these Terms and Conditions relating to ownership provisions, warranty disclaimers, indemnity and limitations of liability shall survive termination of these Terms and Conditions. 您可以向我们发出不少于 3 个月的书面通知，以终止本条款及条件。本条款及条件中有关所有权、保证免责声明、赔偿和责任限制的条文，在本条款及条件终止后仍然有效。 13.4 Your GPE Account is deemed to be inactive if it has no transactions during a period of twelve (12) consecutive months. Fees may be charged for such re-activation procedure. 如果您的环球通汇账户连续十二 (12) 个月没有出现交易，则将处于休眠状态。日后要重新激活账户可能会收取费用。 13.5 If GPE suspends your access to any or all of the GPE Services: (a) you remain responsible for all fees accrued through the date of suspension (including where the charges were incurred before suspension date but performance of the relevant obligations were after the suspension date); (b) you remain responsible for any applicable charges for any part of the GPE Services to which you have access. 如果环球通汇暂停您使用部分或全部服务，(a) 您仍然要负责支付服务被停用日期之前产生的所有费用（包括在服务被停止日期之前已产生的费用，但在服务被停止日期之后相关责任才被履行的情况）；(b) 您仍需对您有权使用的环球通汇服务支付相关的费用。 13.6 We may be required by the government to withhold, freeze, or release to the government, another person or entity some or all of your balance maintained in GPE Account pursuant to notice of a court order, regulatory action or other equivalent government process. To the extent permitted by law, we will notify you of these actions. We shall be entitled to determine the action to take in response to such notice. We shall in no event be under any obligation to contest or appeal such court order, regulatory action, or other equivalent government process. 我们可能需要根据法院命令、监管行动或其他类似的政府程序通知，扣留、冻结或向政府、其他个人或实体发放您在环球通汇账户中保留的部分或全部资金。在法律允许的范围内，我们会通知您相关行动。一旦收到有关通知，我们有权自行决定采取行动。在任何情况下，我们都没有责任对此类法院命令、监管行动或其他类似的政府程序通知提出异议或上诉。 14. Indemnity赔偿 14.1 You shall indemnify GPE for and keep GPE fully and effectively indemnified against: 若出现以下情况，您应向环球通汇进行有效赔偿： a)all direct and indirect damages (including, without limitation, accounting, legal and other professional advisors’ fees) incurred by GPE in connection with any breach of the terms and conditions herein by you; or 由于您对本条款及条件有所违反，令环球通汇遭受的所有直接和间接损害（包括但不限于会计、法律和其他专业顾问的费用）；或者 b)any claim, proceeding, damages (including, without limitation, accounting, legal and other professional advisors’ fees) that may arise to be incurred by GPE in connection with the provision of any of the GPE Services, whether or not arising from or in connection with your improper use of GPE Services. 由于环球通汇向您提供环球通汇服务导致环球通汇遭受任何索赔、诉讼、损害（包括但不限于会计、法律和其他专业顾问的费用），而不论您是否不当地使用环球通汇服务。 15. Intellectual Property Rights 知识产权 16.1 All Intellectual Property Rights in connection with GPE Services are owned by GPE and its licensors. Except as expressly set forth in these Terms and Conditions, GPE does not grant to you any licenses or other rights, implied or otherwise, in or to GPE’s Intellectual Property Rights. 环球通汇服务有关的知识产权均归环球通汇及获授权人士所有。除非在本条款及条件中有明确说明，环球通汇不会暗示或以其他方式授予您关于环球通汇知识产权的授权或其他权利。 17. We may at any time assign to any person all or any of our obligations and rights under these Terms and Conditions by notice to you. 您不得转让或转移您根据本条款及条件应负有的任何责任或权利。如环球通汇要将本条款及条件下的全部或任何义务和权利转让给其他人，我们将会通知您。 18.2 No failure or delay by a party to exercise any right under these Terms and Conditions shall operate as a waiver of that right nor shall any single or partial exercise of any such right preclude further exercise of that right or the exercise of any other right. 若任何一方未行使或延迟行使本条款及条件下的任何权利，均不得视该方已放弃行使有关权利。如其中一方仅行使部分权利，该方也仍可以再一次行使该权利或其他权利。 18.3 Nothing in these Terms and Conditions shall be deemed to constitute a partnership between you and us. 本条款及条件并不会使您和我们构成合作伙伴关系。 18.4 The parties shall do and execute or procure to be done and executed all such further acts, deeds, documents and things as may be necessary to give full effect to the terms and intent of these Terms and Conditions. 为充分落实本条款及条件而需要的进一步行为、协议、文件和事项，双方均应处理、执行。 18.5 If at any time any one or more provisions of these Terms and Conditions is or becomes invalid, illegal, unenforceable or incapable of performance in any respect, the validity, legality, enforceability or performance of the remaining provisions of these Terms and Conditions shall not thereby in any way be affected or impaired. 若本条款及条件的任何一项或多项内容，在任何方面变得无效、非法、不可执行或无法被履行，本条款及条件的其余内容的有效性、合法性、可执行性将不受任何影响。 18.6 If the performance of these Terms and Conditions becomes impractical due to an event of force majeure, neither party will be liable (except for Customer’s payment obligations hereunder), provided that the affected party will notify the other party as soon as practicable. 若由于不可抗力因素，本条款及条件无法履行，任何一方均不用承担责任（客户在本协议项下的付款责任除外），但前提是受影响的一方尽快通知另一方。 18.7 These Terms and Conditions shall be governed by and construed in accordance with the laws for the time being in force in Hong Kong. The Parties shall resolve any dispute arising from these Terms and Conditions in amicable discussions. If any dispute cannot be resolved through negotiation within 21 days after the start of negotiation, both parties agree that the courts of Hong Kong shall have exclusive jurisdiction to hear and decide any suit, action or proceedings, and/or to settle any disputes. 本条款及条件受香港现行有效法律所管辖，并按其解释。双方应通过友好协商解决因本条款及条件引起的任何争议。如果在协商开始后的 21 天内不能通过谈判解决争议，双方同意香港法院拥有专属管辖权来审理和决定任何诉讼或法律程序来解决任何争议。
